These terms govern your access to and use of the HMS Enterprises website, and — in section 5 — the supply of goods to our onboarded trade partners. By using this site, you agree to these terms.

1. Use of the site
This site is provided for informational and B2B engagement purposes. You agree not to use the site to: (a) infringe any party's rights, (b) post or transmit unlawful, harmful, or misleading content, (c) attempt unauthorised access to any part of the site, or (d) scrape or republish content without written permission.
2. Submissions
Information you submit via our forms (inquiry, contact, job application) is handled per our Privacy Policy. You confirm that all information submitted is accurate and that you have the right to provide it.
3. Intellectual property
All content on this site — text, logos, brand marks, design — is the property of HMS Enterprises or its licensors and is protected by applicable intellectual property laws. Third-party brand marks shown on this site (e.g. brands we distribute) remain the property of their respective owners.
4. No commitment
The presence of a brand on our products page does not guarantee continuous availability or pricing. Specific commercial terms — pricing, lead time, credit — are confirmed only upon written quotation.
5. Trading terms
The following terms apply to supply of goods by HMS Enterprises to onboarded retailers, sub-distributors and institutional buyers. They are summary terms — a signed onboarding agreement or written quotation prevails where the two differ.
- Placing an order. Orders may be placed through our field team, by email, or on WhatsApp. An order is binding on us only once we confirm it in writing (email or WhatsApp confirmation from an HMS Enterprises account). Quantities remain subject to stock at the time of confirmation.
- Quotations and pricing. Quotations are valid for 15 days unless stated otherwise. Prices are GST-inclusive as shown on the quotation, and are subject to change where the manufacturer revises MRP, pack size or tax treatment before dispatch.
- Payment and credit. Default terms are payment against delivery. Credit terms, where extended, are agreed in writing per buyer at onboarding and may be revised or withdrawn based on payment history. Overdue amounts may attract interest as stated in the onboarding agreement.
- Delivery.Delivery timelines quoted are estimates based on route and stock position, not guarantees. Risk in the goods passes to the buyer on delivery to the buyer or the buyer's nominated transporter.
- Cancellation. Confirmed orders may be cancelled without charge until dispatch. Once dispatched, cancellation is treated as a return.
- Shortages and damage in transit. Report any shortage, breakage or seal damage within 48 hours of delivery, with photographs and the delivery document. Claims raised later cannot be verified against the dispatch record and may not be accepted.
- Returns and expiry. Returns of saleable stock require our prior written approval and must be in original, unopened packaging with batch and expiry legible. Near-expiry and expiry returns are accepted only within the return window and on the terms operated by the respective manufacturer, and are settled by credit note rather than cash refund. Cold-chain and specially handled items are non-returnable once they leave our hub.
- Buyer responsibilities. The buyer confirms that it holds and maintains every licence and registration required to purchase, store and resell the goods — including a valid drug licence and GST registration where applicable — and will provide copies on request. Goods are supplied for resale through licensed trade channels only.
- Support. For any order, delivery, invoice or return issue, contact us at info@hmsent.in or +91-9359626325. We acknowledge within 1–2 business days.
6. Limitation of liability
This site is provided "as is". HMS Enterprises does not warrant that the site will be uninterrupted or error-free. To the maximum extent permitted by applicable law, we disclaim liability for indirect, incidental, or consequential damages arising from your use of the site.
7. Governing law
These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of courts at Meerut, Uttar Pradesh.
